Terms of service

These Terms govern your use of echoMike's software and this website. "the Service" means either of our applications — echoMike Operations orechoMike Crew — and anything you access through them. echoMike is provided by a company based in England.

1. Acceptance of terms

By creating an account or using the Service you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have the authority to do so. You must be at least 18 years old.

2. Beta service

echoMike Operations is currently in beta and provided free of charge. echoMike Crew is in build and not generally available. Each is a work in progress: features may change or be removed, and the Service is offered on an "as is" basis while we build it. We will give reasonable notice before introducing paid plans, and you will not be charged without your agreement.

3. Your account

To use the Service you must create an account. You agree to:

  • Provide accurate, current and complete information
  • Keep your account information up to date
  • Keep your login details secure and confidential
  • Take responsibility for activity that happens under your account
  • Tell us promptly if you suspect any unauthorised use of your account

We may suspend or close accounts that breach these Terms, or where we reasonably need to in order to protect the Service or other users.

4. Acceptable use

You agree not to use the Service to:

  • Break any law or infringe anyone's rights
  • Upload or transmit malicious code or harmful content
  • Attempt to gain unauthorised access to our systems or other accounts
  • Interfere with or disrupt the Service
  • Use the Service for any illegal, fraudulent or harmful purpose
  • Scrape or use automated means to access the Service without our permission
  • Resell or redistribute the Service without our authorisation

5. Your content and data

You keep ownership of the projects, survey data, employee records, documents and other content you and your team add to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store and process Your Content for the sole purpose of providing the Service to you. We do not claim ownership of Your Content, and how we handle personal data is set out in our Privacy Policy.

If you use Crew, you are responsible for having a lawful basis to hold the employment data you put into it, and for telling the people it relates to how it will be used.

If you give us feedback, suggestions or ideas, you grant us the right to use them without restriction or payment to you.

6. Our intellectual property

The Service and everything that makes it up, including the software, website, design and branding, belongs to echoMike and is protected by intellectual property laws. These Terms do not give you any rights in them beyond using the Service as intended.

7. Service availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. We may suspend access for maintenance, updates or reasons outside our control, and we will make reasonable efforts to give notice of planned maintenance.

8. Third-party services and integrations

The Service connects with third-party services. Operations connects with ABAX, Trimble, DJI and Sage HR; each application relies on third-party providers for hosting, authentication and, in Crew's case, public holiday data. We are not responsible for those services, and your use of them is subject to their own terms and at your own risk.

9. Disclaimer

While the Service is in beta in particular, it is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free or completely secure. You are responsible for checking that any survey data, outputs, calculations or records meet your own requirements before you rely on them.

10. Limitation of liability

Nothing in these Terms limits or excludes our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud.

Subject to that, we are not liable for any indirect or consequential loss, or for loss of profits, data, business or goodwill, arising from your use of the Service. Our total liability for any claim relating to these Terms or the Service will not exceed the amount you paid us in the twelve months before the claim, which during the beta is likely to be nil.

11. Indemnification

You agree to indemnify and hold harmless echoMike from any claims, losses and reasonable costs arising from your misuse of the Service, your breach of these Terms, or your infringement of anyone else's rights.

12. Termination

You can stop using the Service and close your account at any time. We may suspend or end your access if you breach these Terms. On termination, your right to use the Service stops, so please export any data you want to keep beforehand. Sections that by their nature should continue, such as those on intellectual property, disclaimers and liability, will survive.

13. Governing law

These Terms are governed by the laws of England and Wales. Any dispute relating to them or to the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms here and update the date at the top, and we will let you know if the changes are significant. Continuing to use the Service after changes take effect means you accept the updated Terms.

15. General

  • Entire agreement: these Terms, with the Privacy Policy, are the whole agreement between you and echoMike about the Service.
  • Severability: if any part of these Terms is found to be unenforceable, the rest will still apply.
  • Waiver: if we do not enforce a right straight away, that does not mean we have given it up.
  • Assignment: you may not transfer these Terms without our written consent.
